EndocrineWatch Terms of Service

AndroFast Biologics LLC (“AndroFast,” “we,” “us,” or “our”)

1. Acceptance of Terms

By accessing or using the EndocrineWatch website, dataset, program, platform, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

2. The Service

EndocrineWatch is an advisory tool provided by AndroFast Biologics LLC, a Delaware limited liability company founded by a reproductive geneticist specializing in andrology and male reproductive health. The Service delivers curated chemical profiles, mechanistic reasoning on endocrine disruption and reprotoxins, US/EU regulatory status, health-risk mapping, and related intelligence to support compliance, formulation, research and product-safety decisions.

EndocrineWatch is an advisory intelligence platform only. It does not provide legal advice, regulatory compliance certification, medical advice, or any guarantee of regulatory approval or product safety. The Service delivers curated scientific and regulatory information based on publicly available sources at the time of publication. All decisions regarding product formulation, regulatory submissions, or risk management remain the sole responsibility of the user. AndroFast Biologics LLC makes no warranty that the information is complete, accurate, or suitable for any particular purpose.

The Service is offered in three tiers: Professional, Enterprise, and Data Integration. Full features are described on the website and full pricing is described by emailing info@androfastbiologics.com.

3. Eligibility and Accounts

You must be at least 18 years old and have legal capacity to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information and to update it promptly.

4. License Grant and Use Restrictions

Subject to your payment of applicable fees and continued compliance with these Terms:

• We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business, research, or regulatory purposes as permitted by the tier you have subscribed to.

• Professional tier: Access is for named individual users or small teams only.

• Enterprise and Data Integration tiers: Access is governed by your separate Master Service Agreement and Data License Addendum.

You may not:

• Share login credentials or allow unauthorized access.

• Copy, modify, reverse engineer, or create derivative works of the Service or any curated chemical profiles, mechanistic reasoning, or regulatory mappings.

• Export or use the data to build a competing product or service.

• Use the Service for any unlawful purpose or in violation of applicable laws.

• Remove or obscure any copyright, trademark, or proprietary notices.

5. Intellectual Property

All content, data, software, and materials in the Service including the EndocrineWatch database, curated profiles, mechanistic reasoning on endocrine disruption/reprotoxins, and health-risk mappings are owned by AndroFast Biologics LLC or its licensors. You receive no ownership rights. AndroFast retains all rights, title, and interest in the Service.

6. User Conduct and Acceptable Use

You agree not to:

• Upload or transmit any material that is unlawful, harmful, or infringes third-party rights.

• Attempt to gain unauthorized access to the Service or related systems.

• Use the Service in a manner that could interfere with its operation or impose an unreasonable load.

EndocrineWatch is provided for informational and advisory purposes only. It is not a substitute for professional regulatory, legal, toxicological, or medical advice. You remain solely and exclusively responsible for all compliance decisions, product formulations, risk assessments, and any actions taken based on information obtained through the Service.

7. Fees and Payment

Subscription fees are billed within 5 business days of the deal finalization. Whereas “deal finalization” means the date on which AndroFast Biologics LLC receives a fully executed Order Form, Master Service Agreement, or written confirmation (via email) of the subscription terms from the Customer. Payments are non-refundable except as expressly provided in your tier-specific agreement. 

8. Termination

We may suspend or terminate your access at any time for breach of these Terms or your tier-specific agreement. We may suspend or terminate access for non-payment.

9. Disclaimers

The Service is provided “as is” and “as available.” AndroFast disclaims all warranties, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, and non-infringement. Regulatory status, chemical profiles, and health-risk mappings reflect available data at the time of publication but are subject to change. We do not guarantee that the Service will meet your specific requirements or that it will be error-free or uninterrupted.

The information provided through the Service, including chemical profiles, mechanistic reasoning, regulatory status, and health-risk mappings, is based on AndroFast’s interpretation of publicly available scientific literature, regulatory documents, and expert analysis. Regulatory requirements and scientific understanding are subject to change. AndroFast does not guarantee the accuracy, completeness, or timeliness of any information and expressly disclaims any duty to update the Service beyond its standard update cadence.

10. Limitation of Liability

 

IN NO EVENT SHALL ANDROFAST BIOLOGICS LLC’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL FEES YOU PAID TO ANDROFAST IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

NEITHER ANDROFAST BIOLOGICS LLC NOR THE SERVICE SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, BUSINESS INTERRUPTION, OR PRODUCT-RECALL COSTS.

AndroFast Biologics LLC is not responsible or liable for decisions made using the Service or any other asset provided by us. We, our provided information and the Service are not a substitute for professional regulatory, legal, or medical advice. You remain solely responsible for all compliance decisions, product formulations, risk assessments and any other decisions informed by AndroFast Biologics LLC, its services, its assets and/or its personnel.

You acknowledge that the Service involves the interpretation of complex and evolving scientific and regulatory information, and that AndroFast Biologics LLC cannot and does not guarantee error-free results or outcomes.

11. Indemnification

Each party (the “Indemnifying Party”) shall indemnify, defend, and hold harmless the other party (the “Indemnified Party”), its officers, directors, employees, and agents from and against any third-party claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

(a) the Indemnifying Party’s breach of these Terms or the applicable Order Form;

(b) the Indemnifying Party’s gross negligence or willful misconduct;

(c) if AndroFast Biologics LLC is the Indemnifying Party: any claim that the Service or any content provided by AndroFast infringes a third party’s intellectual property rights; or

(d) if the Customer is the Indemnifying Party: the Customer’s use of the Service outside the permitted scope, in violation of these Terms or the Order Form, or in violation of applicable laws or regulations.

12. Governing Law

These Terms are governed by the laws of the State of Delaware without regard to conflict-of-laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

13. Changes to Terms

We may update these Terms. Material changes will be notified to you by email or through the Service. Continued use after the effective date constitutes acceptance of the revised Terms.

14. Miscellaneous

These Terms, together with the applicable Order Form or Master Service Agreement, constitute the entire agreement between you and AndroFast regarding the Service and supersede any prior understandings. In the event of any conflict or difference between these Terms and the terms of a signed Master Service Agreement or Order Form, the terms of the Master Service Agreement or Order Form shall supersede and control. If any provision is held invalid, the remainder remains in effect. No waiver of any breach shall constitute a waiver of any other breach.
